• Google Review Booster: Automated review collection and management for Google, Zomato, and other platforms
• Referral Programs: Refer-and-earn systems to grow your customer base
• AI Marketing Agent: AI-powered poster creation, campaign suggestions, and content generation
• Smart Feedback: Customer feedback collection and complaint management
• POS Integration: Sync with Petpooja and other point-of-sale systems
• Transaction SMS: Automated SMS notifications for transactions and updates

3. Account Registration

To use MRP Shop, you must:

• Be a legally registered business entity
• Provide accurate business information including GST and PAN details
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

For WhatsApp Business API access, you must provide valid GST certificate, PAN card, and business registration documents for Meta verification.

5. Acceptable Use Policy

You agree NOT to use MRP Shop to:

• Send spam, unsolicited messages, or violate anti-spam laws
• Harass, threaten, or send abusive content to any person
• Violate Meta's WhatsApp Business Policy or any platform guidelines
• Engage in fraudulent, deceptive, or illegal activities
• Transmit malware, viruses, or harmful code
• Impersonate another business or individual
• Scrape, data mine, or interfere with our systems
• Resell or redistribute our services without authorization

Violation of these terms may result in immediate account suspension or termination.

6. WhatsApp Business API Terms

By using our WhatsApp Marketing features, you additionally agree to:

• Comply with Meta's WhatsApp Business Policy and Commerce Policy
• Only message customers who have opted in to receive communications
• Provide clear opt-out mechanisms in all marketing messages
• Use approved message templates for business-initiated conversations
• Maintain message quality to avoid account restrictions by Meta
• Not use the service for political campaigns or prohibited content

7. Customer Data Responsibilities

You are the data controller for your End Customers' data. You agree to:

• Obtain proper consent before collecting customer data
• Comply with applicable data protection laws (including IT Act 2000)
• Not upload data that violates third-party rights
• Maintain accurate and up-to-date customer records
• Honor customer requests for data access or deletion

MRP Shop acts as a data processor on your behalf and will process data according to our Privacy Policy.

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice. Third-party service availability (WhatsApp, SMS providers, etc.) is beyond our control. We are not liable for downtime caused by factors outside our reasonable control.

MRP SHOP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE SPECIFIC BUSINESS RESULTS, CUSTOMER ENGAGEMENT RATES, OR REVENUE INCREASES. THE EFFECTIVENESS OF MARKETING CAMPAIGNS DEPENDS ON MANY FACTORS BEYOND OUR CONTROL. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACKPEARL ENTERPRISES LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Blackpearl Enterprises Limited from any claims, damages, or expenses arising from: (a) your violation of these terms; (b) your violation of any law or third-party rights; (c) your End Customers' claims related to your use of our services; (d) content you upload or transmit through our platform.

14. Governing Law and Disputes

These terms are governed by the laws of India. Any disputes shall be resolved through:

1. Good faith negotiation between parties
2. If unresolved within 30 days, binding arbitration in Jaipur, Rajasthan
3. Arbitration shall be conducted under the Arbitration and Conciliation Act, 1996
4. Each party shall appoint one arbitrator, and both shall jointly appoint a third

The courts of Jaipur, Rajasthan shall have exclusive jurisdiction for any matters not subject to arbitration.

15. Changes to Terms

We may modify these terms at any time. Material changes will be notified via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance. If you disagree with changes, you may terminate your subscription before they take effect.
